Terms of Use



These Terms of Use govern your access and use of the Internet sites (“Sites”), applications and services provided by Royal Citizen UK (collectively, the “Services”), the Services provided by Royal Citizen UK and any of its subsidiaries, affiliates, brands and entities that it controls (collectively “we,” “us,” or “our”). Please read these Terms carefully before accessing or using the Services.

By joining, or each time you access and use the Services, you signify that you have read and understand, and agree to be bound by, these Terms. You represent and warrant that you are an individual of legal age to form a binding contract (or if not, you’ve received your parent’s or guardian’s permission to use the Services and have gotten your parent or guardian to agree to these Terms on your behalf). If you do not agree to these terms, you are not permitted to use the Services. These Terms have the same force and effect as an agreement in writing.

Your Responsibilities



You are responsible for obtaining and maintaining at your own cost all equipment and services needed for access to and use of the Services. When you register with us and each time you access the Services, you may be providing certain information about yourself. You agree that we may use any information that we obtain about you in accordance with the provisions of our Privacy Policy. If you elect to register with us, you agree to: (i) provide true, accurate, current, and complete information as prompted by the registration form; and (ii) maintain and update such information to keep it true, accurate, current, and complete at all times. In addition, you agree not to use the Services to: (i) violate any local, state, national, or international law or regulation; (ii) transmit any material that is abusive, harassing, tortious, defamatory, vulgar, pornographic, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable; (iii) transmit any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of solicitation; (iv) transmit any material that contains adware, malware, spyware, software viruses, or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment; (v) stalk, harass, or harm another individual, including revealing the real name of any fellow user that has chosen to use an alias on the Services; (vi) impersonate any person or entity, or otherwise misrepresent your affiliation with a person or entity; (vii) use any "robot," 'spider," "rover," 'scraper" or any other data-mining technology or automatic or manual process to monitor, cache, frame, mask, extract data from, copy or distribute any data from the Services, our network or databases; or (viii) interfere with or disrupt the Services or servers or our networks, or disobey any requirements, procedures, policies, or regulations of networks connected to the Services.


Participation on the Sites



Registration with the Sites is required in order to access certain services, including, without limitation, saving of favorite restaurants and fashion looks, user ratings, listing reviews and blog and article comment posting. Your registration information will be handled by us in accordance with our Privacy Policy, which you should review prior to registering with us.


You may be required to select a password and member name for membership registration. You are responsible for maintaining the confidentiality of your password and any membership account information. You agree to immediately notify us of any unauthorized use of your password or other membership account information and further agree to indemnify and hold the Sites, their parents, affiliates, subsidiaries, operational providers and partners harmless for any improper or illegal use of your password.


We will establish specific rules and terms for participation in each contest, sweepstakes and/or special event and will post this information on our Sites. We will not knowingly collect personal information from visitors under sixteen (16) years of age for these activities. Upon discovery of the participation of a person under sixteen (16) years of age in such activities, his/her registration or participation will be canceled immediately and all personal information will be deleted from our files.



User Submissions



We do not claim ownership of any information, data, text, software, music, sound, photographs, graphics, video, messages, tags or other materials you submit for display or distribution to others through the Services (collectively, "User Submissions"). As between you and us, you own all rights to your User Submissions. However, you grant to us and our affiliates, representatives, sublicensees and assigns an irrevocable, perpetual, non-exclusive, fully-paid, license throughout the universe to use, distribute, syndicate, license, reproduce, modify, adapt, publish, translate, publicly perform, create derivate works and publicly display your User Submissions (in whole or in part) in any format or medium now known or later developed; provided, however, that our exercise of our rights under the foregoing license shall at all times be subject to the limitations upon disclosure of your User Submissions imposed on us under our Privacy Policy. We reserve the right to display advertisements in connection with User Submissions and to use User Submissions for advertising and promotional purposes without any compensation to you. These advertisements may be targeted to the content or information stored on the Services. In consideration for us granting you access and use of the Services, you agree that we may place such advertisements throughout our Services. We do not pre-screen User Submissions, and you agree that you are solely responsible for all of your User Submissions. We are not required to host, display, or distribute any User Submissions, and may remove at any time or refuse any User Submissions in our sole discretion. We are not responsible for any loss, theft or damage of any kind to any User Submissions. You represent and warrant that your User Submissions and our authorized use of such submissions do not and will not infringe the rights of any third party (including, without limitation, intellectual property rights, rights of privacy or publicity, or any other legal or moral rights). You, and not we, are responsible for any consequences of sharing personal information about yourself on public areas of the Service, such as your home address or the home address of others.

We own all rights, title, and interests in any compilation, collective work or other derivative work created by us using or incorporating your User Submissions. When you use a feature on the Services that allows users to share, transform, readapt, modify, or combine User Submissions with other content, you grant us and our users an irrevocable, non-exclusive, royalty free, perpetual, right and license in the universe to use, reproduce, modify, display, remix, perform, distribute, redistribute, adapt, promote, create derivative works, and syndicate User Submissions in any medium and through any form of technology or distribution and to permit any derivative works to be licensed under these same license terms. The rights granted under this section will survive the termination of this Agreement.


Rights and Infringement



“Royal Citizen UK”, the design, our site names and logos, as well as certain other names, logos, and materials displayed in the Services constitute trademarks, trade names, service marks or logos (“Marks”) of us or other entities. You are not authorized to use any such Marks. Other than as set provided for in these Terms: you may not copy, make derivate works, resell, distribute, or make any commercial use of (other than to keep and share information for your own non-commercial purposes) any content, materials, or databases from our network or systems. You may not sell, sublicense or redistribute our software applications or incorporate them (or any portion of them) into another product. You may not reverse engineer, decompile or disassemble the software or otherwise attempt to derive the source code (except where expressly permitted by law) or the communications protocol for accessing the Services or out networks. You may not modify, adapt or create derivative works from the software or remove proprietary notices in the software. You undertake not to use the Services for any purpose that is fraudulent or unlawful, not to interfere with the operation of the Services. Your use of the Services must comply with our policies.

The content on the Services (the “Content”), including without limitation, video, text, photos, and graphics, is protected under United States and international copyright laws, is subject to other intellectual property and proprietary rights and laws, and is owned by us or our licensors. Other than with respect to your own User Submissions: (a) the Content may not be copied, modified, reproduced, republished, posted, transmitted, sold, offered for sale, or redistributed in any way without our prior written permission and that of our applicable licensors; and (b) you must abide by all copyright notices, information, or restrictions contained in or attached to any Content. We give you a personal, revocable, non-assignable, non-licensable and non-exclusive right to access and use the Services in the manner permitted by these Terms. You acknowledge that you have no right to have access to all or any part of the Services in source code form.

We respect the intellectual property rights of others. Accordingly, we have a policy of removing User Submissions that violate copyright law, suspending access to the Services (or any portion thereof) to any user who uses the Services in violation of copyright law, and/or terminating in appropriate circumstances the account of any user who uses the Services in violation of copyright law. Pursuant to Title 17 of the United States Code, Section 512, we have implemented procedures for receiving written notification of claimed copyright infringement and for processing such claims in accordance with such law.

If you believe that your intellectual property is being used somewhere on the Services in a way that constitutes infringement, the owner or an agent of the owner may notify us at copyright[at]royalcitizen[dot]uk. We ask that any complaints provide the accurate identity of the owner, how we may contact you, and the specific nature of the complaint.

Your written notice must: (a) contain your physical or electronic signature; (b) identify the copyrighted work alleged to have been infringed; (c) identify the allegedly infringing material in a sufficiently precise manner to allow us to locate that material; (d) contain adequate information by which we can contact you (including postal address, telephone number, and email address); (e) contain a statement that you have a good faith belief that use of the copyrighted material is not authorized by the copyright owner, the copyright owner's agent, or the law; (f) contain a statement that the information in the written notice is accurate; and (g) contain a statement, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.


Termination



We may terminate your membership or suspend your access to all or part of the Services, without notice, if you violate these Terms or you engage in any conduct that we, in our sole and absolute discretion, believe is in violation of any applicable law or regulation or is otherwise harmful to the interests of us, any other user of the Services, or any third party. You agree that Royal Citizen UK shall not be liable to you or any third party for removing your user submissions or suspending or terminating your access to the Services (or any portion thereof). You may discontinue your participation in and access to the Services at any time. We reserve the right to investigate your use of the Services in the event we, in our sole and absolute discretion, believe you have violated these Terms. Upon termination, we have no obligation to retain, store, or provide you with any data, information or other content that you uploaded, stored, or transferred on or through the Services, other than as provided by law and in accordance with our Privacy Policy.


You can request to disable your account at any time, for any reason, by emailing us with the subject “Close My Account”. Please provide as much information as you can about your account, so we may identify the account and you correctly. If we do not receive sufficient information, we will be unable to disable or delete your account.


Provisions that, by their nature, should survive termination of these Terms shall survive termination. By way of example, all of the following will survive termination: any obligation you have to pay us or indemnify us, any limitations on our liability, any terms regarding ownership or intellectual property rights, and terms regarding disputes between us, including without limitation the arbitration agreement.



Fees



We reserve the right at any time to charge fees for access to the Services or to any specific new feature or content that we may introduce from time to time. In no event will you be charged for access to any Services unless we obtain your prior agreement to pay such fees. If you do not consent to the payment of such fees, however, you may not have access to paid content or services. Details regarding the content or services you will receive in exchange for fees, as well as the payment terms and conditions that apply, will be disclosed to you prior to your agreement to pay such fees. You agree to pay such fees if you sign up for any fee-based service. Any such terms and conditions shall be deemed to be a part of (and are hereby incorporated by reference into) these Terms.



Password and Security



You are responsible for maintaining the confidentiality of your password to access the Services, and you are solely responsible for all activities that occur under your password. We reserve the right to require you to alter your password if we believe that your password is no longer secure. You agree that we will not be liable for any loss or damage arising from your failure to adequately safeguard your password or someone else’s use of your account.


Information obtained by you via your account and information disclosed directly to you by us (“Confidential Information”) shall be kept strictly confidential by you and used only for the purpose of interacting with and transacting on the platform and shall not be disclosed by you in whole or in part, directly or indirectly to any third party, provided that: (a) you may disclose such information to any of your employees, solicitors and other professional advisors (if appropriate) for the purpose of working with you in connection with your decision to use the Services, on the basis that you understand that you will be responsible for their use and handling of such information; and (b) Confidential Information shall not include information that: (i) was in your lawful possession before it was disclosed, without confidentiality restrictions; (ii) you obtain from a third party on an unrestricted basis other than through breach of these Terms or breach of any other obligation of confidentiality on you or the third party; (iii) is developed by you independently of us and any information received by you from us; or (iv) you are required to disclose in accordance with applicable law, provided that you give us as much advance written notice of such requirement as is reasonably practicable in the circumstances.



Limitations of Liability



Nothing in these Terms shall limit or exclude our liability for: (i) death or personal injury resulting from our negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any other liability that cannot be excluded or limited under English law. We are responsible for loss or damage you suffer that is a foreseeable result of our breaching these Terms or our failing to use reasonable care and skill. However, you understand that to the extent permitted under applicable law, in no event will we or our officers, employees, directors, shareholders, parents, subsidiaries, affiliates, agents, subcontractors or licensors be liable under any theory of liability (whether in contract, tort, statutory, or otherwise) for any unforeseeable, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of revenues, profits, business, business interruption, business opportunity goodwill, use, data or other intangible losses (even if such parties were advised of, knew of or should have known of the possibility of such damages), resulting from your (or anyone using your account’s) use of the Services. We will not be liable for damages which you could have avoided by following our advice, including to apply an update, patch or error correction offered to you free of charge or to have in place the minimum system requirements advised by us. We will not be liable or responsible for any failure to perform, or any delay in the performance of, any of our obligations under these Terms that is caused by any event or circumstances beyond our reasonable control, including any failure of public or private telecommunications networks or any delays or latency due to your physical location or your wireless data service provider’s network. Unless otherwise provided by applicable law, in no event shall our liability to you exceed the amount of fees you paid us (if applicable) for a period of three months prior to the date you submit a claim.



Indemnification



You agree to indemnify, defend, and hold harmless us, our parents, subsidiaries, affiliates, officers, directors, employees, consultants, subcontractors and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorney fees) that such parties may incur as a result of or arising from your (or anyone using your accounts) violation of these Terms. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with our defense of such claim. You shall and hereby do waive California Civil Code Section 1542 or any similar law of any jurisdiction, which says in substance: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”



Dispute Resolution



The parties shall use their best efforts to settle any dispute, claim, question, or disagreement arising out of or relating to the subject matter of these Terms directly through good-faith negotiations, which shall be a precondition to either party initiating arbitration. If such negotiations do not resolve the dispute, it shall be finally settled by binding arbitration in NYC, New York. The arbitration will proceed in the English language, in accordance with the JAMS Streamlined Arbitration Rules and Procedures (the “Rules”) then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes. The arbitrator shall be selected from the appropriate list of JAMS arbitrators in accordance with such Rules. Judgment upon the award rendered by such arbitrator may be entered in any court of competent jurisdiction.


Subject to section 19(e), if any part or parts of this Arbitration Agreement are found under the law to be invalid or unenforceable, then such specific part or parts shall be of no force and effect and shall be severed and the remainder of the Arbitration Agreement shall continue in full force and effect.

We at Royal Citizen UK have compiled this Privacy Policy (“Privacy Policy”) to explain what data we collect from our users, event attendees, and others who submit inquiries to us (“users” or “you”) and how we use and share this information. This Privacy Policy applies to your use of our websites, mobile websites, mobile applications, and any related services as described in our Terms and Conditions (collectively, the “Services”).

Information We Collect



Some user information you provide to us directly, some user information is collected automatically when you use the Services, and some user information we receive from third parties, such as our third-party vendors and publicly available sources such as public websites.

When you use the Services or otherwise interact with us, we may collect Personal Data. When we refer to “Personal Data” in this Privacy Policy, we mean data that identifies or can be used to identify you as an individual, which is sometimes referred to as “personal data” or “personal information” under applicable privacy laws, such as your name, postal address, email address and phone number.

When you use the Services, we also collect or receive general information (“Usage Data”) about you, either from you or other sources, such as personal identifiers (for example, IP address and device identifiers), demographic information, information about your preferences, interests, search queries, and online activity (such as date and time of your access to the Services, referring URLs, and information about the usage of our Services). Usage Data may also contain Personal Data.

All Personal Data and Usage Data that we hold about you is referred to in this Privacy Policy collectively and generally as “User Data.”


Information Use



We DO NOT monitor, track or analyze how our users utilize the Services via tracking or analytics. We use the information we collect, including Personal Data and Usage Data to:

Allow you to set up an account and profile and log into your account on the Services and to access certain parts of the Services through such account;
Allow you to share certain information about yourself with other users through your account profile;
Personalize and improve the Services;
Connect you across multiple devices or platforms where you are accessing our content;
Customize the Services to provide advertisements, content, features or recommendations on the Services or on other platforms (for example, social media platforms) that match your interests or are otherwise tailored to you;

Detect, investigate and/or prevent fraudulent, unauthorized, or illegal activity;
Maintain the security of our Services, including for age verification purposes;
Protect the rights, property, and/or safety of Royal Citizen UK, you, or others;
Comply with the law or with law enforcement requests and legal process, such as a court orders or subpoenas;
Enforce our Terms and Conditions and carry out other purposes described in this Privacy Policy or at the time the User Data was collected.


Information You Choose To Submit



You can visit the Services without telling us who you are or revealing any information by which someone could identify you as a specific, identifiable individual (which we will refer to in this Privacy Notice collectively as “Personal Data”). If, however, you wish to register to become a member of the Services, you are required to provide certain Personal Data (for example, your name and email address), and you must also provide a username and password. We use your Personal Data to fulfill your requests for products and services, to improve our Services, to contact you from time to time, with your consent, about us and our products and services, and as otherwise described in this Privacy Notice.

We refer collectively to all information we collect that is not Personal Data, including Usage Data, demographic data and de-identified Personal Data, as “Non-Personal Data”. If we combine Non-Personal Data with Personal Data, we will treat the combined information as Personal Data under this Privacy Notice.

Personal Data, Non-Personal Data, and User Submissions are referred to in this Privacy Notice collectively as “User Information.”

You may choose to enter contests, sweepstakes, competitions, participate in surveys, subscribe to newsletters, comment articles, use message boards, chat rooms, reader photo upload areas, reader ratings and reviews, save articles or other content on our Sites, reader-created content upload areas, contact us and customer support areas, and areas that allow you to register for SMS text messaging and mobile alerts, or otherwise interact with us in similar ways (“Interactive Areas”). These Interactive Areas may require that you provide Personal Data corresponding with the activities. You understand and agree that the Interactive Areas are voluntary and that your providing Personal Data for those activities will be collected and used by us to identify and communicate with you. In certain circumstances, we may share that Personal Information with sponsors, advertisers, affiliates or other partners. If you have questions about a specific Interactive Area, please contact us and reference that specific Interactive Area.

In addition, you are required to provide certain Personal Data when you submit a job application and supporting materials. Where you submit a job application on behalf of another person, you confirm that you have made that person aware of how we collect, use and share their Personal Data, the reason you have provided it, how they can contact us, the terms of this Privacy Notice and related policies and that they have consented to such collection, use and sharing. You can also choose to submit or we may collect additional information about yourself, such as demographic information (for example your gender, birth date, or zip code) and information about your preferences and interests. Failure to provide any required Personal Data will prevent us from being able to provide the Services you request (e.g., member registration or submission of job application) or otherwise inhibit our ability to provide the Services.


Information We Receive From Other Sources



We may supplement the information we collect with outside records in order to learn more about our users, to better tailor the content and offers we show you, and for other purposes. We may receive this information about you from public sources or third parties, including without limitation consumer data resellers, social networks, and advertisers that demonstrate collection complaint with applicable privacy laws. We may combine the information we receive from those other sources with information we collect through the Services. In those cases, we will apply this Privacy Policy to the compiled information.


Cookies and Tracking



We DO NOT use Flash cookies, Analytics and Performance Cookies, Social Media Cookies or Targeting and advertising cookies. We also DO NOT use Pixel Tags, Device Fingerprinting, Location-Identifying Technologies or maintain Log Files.

We only use strictly necessary Functionality Cookies that allow our Services to remember choices you make when you use our Services, such as remembering your language preferences, remembering your login details, remembering which polls you have voted in and in some cases, to show you poll results, and remembering the changes you make to other parts of our Services which you can customize. The purpose of these cookies is to provide you with a more personal experience and to avoid you having to re-enter your preferences every time you visit our Services.


Anonymous Data



When we use the term “anonymous data,” we are referring to data and information that does not permit you to be identified or identifiable, either alone or when combined with any other information available to a third-party. We may create anonymous data from the Personal Data we receive about you and other individuals whose Personal Data we collect. Anonymous data will include analytics information and information collected by us using cookies. We make Personal Data into anonymous data by excluding information (such as your name or other personal identifiers) that makes the data personally identifiable to you. We use this anonymous data to analyze usage patterns in order to make improvements to our Services.


Our Information Sharing Practices



Certain third-party vendors and partners (including, but not limited to, advertisers, advertising agencies, ad networks, ad measurement providers, and other marketing and advertising service providers and partners) (“Advertisers”) may collect information about you on the Services in order to provide you with relevant advertising on the Services and on other websites, platforms and media channels, and to analyze the performance of advertising campaigns. These Advertisers may use tracking technologies such as Cookies, Web Beacons, and other similar technologies, and may collect many different kinds of data, such as your IP address, device ID, advertising ID, and precise location data where made available by your mobile device.

We may also sell or transfer User Data to certain Advertisers who will use this data for their own purposes, including to serve ads that they believe are relevant to your interests. Some of these third parties may combine the User Data with their own data about you to form a more detailed picture. We may also share User Data with Advertisers for the purpose of allowing them or their vendors or clients to send you marketing communications related to your use of the Services, their services or programs featured and/or advertised on the Services (e.g., through ads or Promotions), or their products, services and/or programs generally.

Our third-party vendors and partners use your User Data to display ads on both the Services and on third party websites, applications, platforms and other media channels, including social media (collectively, “Channels”). For example, if you read content about a particular subject on the Services, we or our Advertisers may use Cookies to later serve you an advertisement for a particular product or service related to the viewed content. These third-party vendors may connect information about pages you visit on the Services with information about pages you visit on other Channels and show you advertising based on this combined information. These advertisements may appear when you are visiting a different section of the Services or on another Channel. Likewise, third-party vendors may serve you advertisements when you visit the Services based on your interaction with the Services and other Channels.

We may provide certain Advertisers with information regarding your interactions with our emails and newsletters, other interactions or actions you take on our Services (such as clicks and purchases), or as to whether your information matches certain information held by the Advertiser and/or their customers. Those Advertisers may combine this data with information they collect for their own marketing purposes and in turn, may provide this information to their customers for their customers’ marketing purposes.

In order to help us sell advertising on the Services and otherwise publicize Royal Citizen UK and its products and services, we may also share aggregated statistics that describe our online audience. Those statistics are often based on the information you provide when you subscribe, register, browse the Services, and make purchases, and describe, among other things, the demographics of our visitors.

Our third-party partners may sell items or provide services to you through our Services (either alone or jointly with us). In some of these cases, you will be routed through to the third party's website, where you will complete the purchase. In other cases, the services of those third parties are embedded into the Services. When you make a purchase or activate the partner's service, we may share your User Data (such as an email address) with that partner, who may use this User Data in accordance with its own privacy policy. In some instances, the partner may share User Data about you back with Royal Citizen UK.

Certain User Data from your profile such as your user name, display name, biographical information, or any comments or video or image content that you have uploaded to the Services may be displayed to other users to facilitate user interaction within the Service or address your request for Services. In some applications, information you share in your profile will be publicly available to other users.

We may collect and share User Data you provide in connection with a Promotion with an advertiser who sponsors the Promotion and/or with other partners who participate in the Promotion. In addition, our Service Providers may collect your information in connection with such Promotion on our behalf. In the event that your User Data is shared with a sponsor or other third-party, it would also be subject to the sponsor’s or such other third party’s privacy policy, and it may be used by Roving Feet, the sponsor(s) or partner(s), and our Service Providers, for follow-up or other marketing purposes. For all Promotions, please read the official rules, event terms, and/or any other applicable terms and conditions for that Promotion carefully before you submit your User Data or otherwise participate in the Promotion.


Users Outside of the United States



The Services are operated in the United States. If you are located in another jurisdiction, please be aware that information you provide to us will be transferred to, stored and processed in the United States.
